1. Services Provided

YourCoder is a premium digital agency specializing in full-stack web and app development, search engine optimization (SEO), database architecture, and advanced cybersecurity services (VAPT). We provide custom software solutions specifically tailored to our clients' precise specifications and enterprise objectives.

2. Client Responsibilities

As a client engaging with YourCoder, you agree to:

• Provide accurate, complete, and timely information required for successful project execution and deployment.
• Obtain necessary permissions, licenses, and legal rights for any content, trademarks, or materials provided to our team.
• Review all deliverables within the agreed-upon timeframe and provide constructive, clear feedback to prevent bottlenecks.

3. Intellectual Property Rights

Upon final payment and project completion, all custom source code, designs, and digital assets developed specifically for your project completely become your intellectual property. YourCoder retains the right to display the completed work in our digital portfolio and professional case studies, unless a pre-agreed Non-Disclosure Agreement (NDA) legally restricts this.

4. Payment Terms

Our standard payment structure ensures mutual commitment and steady progress during the development timeline:

• A non-refundable advance deposit (typically 50%) is required before the initiation of any design phase or development sprints.
• The remaining balance must be completely cleared upon project completion, prior to the deployment of the product to the live server or handover of the source code.
• Any out-of-scope tasks or new features requested during the project lifecycle will be billed additionally after client approval.

5. Confidentiality

YourCoder operates with a strict "Security-First" principle. We commit to keeping all client data, business logic, and proprietary information highly confidential. We implement strict internal security protocols and environment compartmentalization to ensure that your business secrets remain protected against any unauthorized access.

6. Limitation of Liability

While we strictly build robust, highly secure systems, YourCoder shall not be held liable for any indirect, consequential, or special damages arising out of your use of our services or products. We are not responsible for downtimes caused by third-party hosting providers (like AWS, Vercel), external API deprecations, or vulnerabilities caused by weak administrative credentials after the project handover.

7. Project Termination

Either party may terminate the project with a 7-day written notice if the other party fundamentally breaches these terms. If a project is cancelled by the client post-commencement without due cause, the initial deposit is forfeited, and the client will be billed for the pro-rata hours worked up to the official termination date.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India, and you irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Moradabad, Uttar Pradesh.
